Content Submission Agreement

This Agreement (“Agreement”) governs the submission of video content by users (“you” or “User”) to House of FPS (“we,” “us,” or “our”), a platform that curates and publishes user-generated gaming clips.

1. Submission & Approval Process

• Submission of a video clip (“Content”) constitutes an offer to license non-exclusive rights to House of FPS.
• All submitted Content is subject to editorial review and approval. No rights are granted, and no license is activated unless and until House of FPS accepts the submission.
• If your clip is not approved, we will not license, monetize, or publicly display it. Rejection of clips may or may not be explicitly mentioned.

2. Grant of Non-Exclusive Rights (Upon Approval)

Upon formal approval of your submission, you grant House of FPS:

• An non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, publish, perform, distribute, sublicense, and monetize the Content in any media;
• The right to enforce copyright on your behalf, including via DMCA takedowns, content ID claims, and legal action.
• You may not revoke this license once granted unless otherwise agreed upon by Houseoffps.

3. User Representations and Warranties

By submitting Content, you represent and warrant that:

• You are the sole owner of all rights in the Content;
• You have not granted exclusive rights to any third party (e.g., MCNs, agencies, licensors);
• The Content does not violate the rights of any third party;
• You have obtained consent from any persons appearing in the Content;
• You are legally responsible for any legal claims resulting from the Content.

4. Compensation Structure

• Registered Users may choose, per approved submission, between:
  • Payment (amount at our sole discretion); or
  • Credit (on-platform recognition or other non-cash benefit).
• Guest Users (not logged in) are only eligible for credit.

5. Publicity as Consideration

If you are not eligible for payment, public exposure or attribution may be the sole form of consideration for your submission.

6. Indemnification

You agree to indemnify and hold harmless House of FPS from any claims, damages, or liabilities related to:

• A breach of your representations and warranties;
• Conflicts with prior agreements (e.g., MCNs or agencies);
• Unauthorized content in your submission.

7. DMCA & Copyright Enforcement

• We reserve the right to act on your behalf to enforce copyright, including issuing takedowns and claims against third parties (excluding yourself).
• We will honor valid DMCA takedown requests, and may suspend content if ownership is challenged.
• If ownership is disputed, we may revoke the license until the matter is resolved.

8. Termination & Repeat Violations

We may reject submissions or suspend accounts at any time, particularly for:

• Repeat copyright violations;
• Misrepresentation of ownership;
• Breach of this agreement.

9. Governing Law

This Agreement is governed by the laws of [State of New York], without regard to conflict-of-law principles.

10. Changes to Terms

We may update these terms at any time. Continued use of the platform or submission of Content constitutes acceptance of any changes.

By submitting a clip to House of FPS, you:

• Affirm that you have full ownership and authority to license the Content;
• Agree to all terms above;
• Understand that no license is granted unless your clip is approved.
